SERVICE PROVISION

Register-LEI CA GmbH (hereinafter referred to as “RLCA”) is a provider of LEI services (LEI: Legal Entity Identifier). RLCA acts as a service provider on behalf of Ubisecure Inc. Finland (hereinafter referred to as “UBISECURE”).

UBISECURE is a LOU of the Global Legal Entity Identifier System (GLEIS). RLCA and UBISECURE will jointly supply LEIs.

The customer has a direct business relationship with RLCA and is supplied with LEIs which are issued and maintained by UBISECURE under these conditions.

RLCA will handle the LEI registration and maintenance via the web portal https://www.register-lei.in (hereinafter referred to as “web portal”). The web portal records all fields required for LEI registration (reference data). In addition, RLCA maintains user accounts and billing data in connection with the direct relationship with the LEI registrant (user).

Our Privacy Policy governs how we manage and use personal information and how we protect your integrity when you use our services. By agreeing to these terms, you consent to the processing of personal data in accordance with our Privacy Policy.

PRICING AND INVOICING

RLCA publishes prices and conditions continuously on the web portal and will invoice them.

The price of a first LEI registration is due immediately after the order. RLCA keeps an unpaid order open for a maximum of 30 days, after which the order is considered expired.

Before the 12-month maintenance period expires, RLCA will contact the registrant (user) to remind them of the need to maintain the LEI. If a LEI is not maintained, it expires and is no longer valid.

RLCA will apply VAT in accordance with Austrian tax regulations for the provision of services within Austria, the EU Member States and the rest of the world. RLCA will rely on the VAT number and invoice data of the paying entity (payer) which the user has registered and which may differ from the LEI holder.

The registrant (user) agrees to the electronic transmission of order confirmations and receipts in his own name and for each invoice recipient he registers.

The client must make payment immediately upon receipt of the order confirmation(s). The basic currency of the services will be EURO. If RLCA has not received full payment in accordance with the order confirmation, RLCA reserves the right to cancel the order.

All order confirmations and receipts will be sent by RLCA as PDF documents by e-mail. The receipts contain the invoice data and information provided by the LEI registrant (user) upon registration.

USER OBLIGATIONS

The LEI registrant (USER) is responsible for the accuracy of the reference data. This applies in all cases, whether the user is acting on his own behalf, for an affiliated company or as an intermediary. By submitting the reference data, the user guarantees its accuracy and applicability within the framework of the LEI registration process.

The User warrants that He/She has the full authority to apply for an LEI on behalf of the Legal Entity. In special cases, RLCA may need to request further documentation.

The user is required to notify RLCA of any changes to a registered entity that require a change to the LEI Reference Data as a result of a corporate action, such as a merger, dissolution, acquisition or other change in corporate form. This should be done continuously and in conjunction with the annual maintenance and revalidation of the LEI Reference Data.

The user should ensure that the LEI application is unique and that each legal entity may issue only one LEI. If the audit reveals that another LEI has been registered (or is pending), the user’s request will be rejected. However, the fees for an initial LEI registration will be charged to cover the cost of RLCA.

RLCA OBLIGATIONS

RLCA ensures that the reference data provided by the user is complete. The reference data provided by the user are checked via publicly accessible sources, e.g. company register, public homepages and official documents.
RLCA will ask the registrant (user) for further information in case of incomplete applications to confirm the validity of the company if publicly available sources are not sufficient.

GENERAL

These terms and conditions may be updated at any time. Material changes will be announced on the web portal www.register-lei.in. Users of RLCA’s services are legally obliged to comply with these terms and conditions at all times.

The services provided by RLCA are subject to Austrian law and place of jurisdiction is Vienna, Austria.
